Indonesia Bars Foreign Reporters In East Timor

As the police struggled to restore order in East Timor after the largest anti-Government demonstrations in years, the Indonesian Government said today that it would temporarily bar foreign reporters from visiting the disputed province. The move alarmed human rights groups, which have warned of a new, violent crackdown on dissidents in East Timor, a former Portuguese colony that was invaded by Indonesia in 1975 and later annexed.

Dow Chemical Stock Drops

The shares of the Dow Chemical Company dropped today on fears that the chemical giant would be dragged further into the breast-implant litigation that has cost its joint venture with Corning Inc. $2 billion. Dow Chemical shares fell $1.75, to $66.125, on New York Stock Exchange volume of 2.6 million shares. Dow Chemical shares have fallen 10 percent since Oct. 31, when a Houston judge ruled that the company would have to stand trial over implants manufactured by the Dow Corning Corporation.

SYNOVUS FINANCIAL WILL MERGE WITH NBSC

The Synovus Financial Corporation struck a definitive merger agreement yesterday with the NBSC Corporation for a $150 million stock swap, creating a regional bank with about $7 billion in assets. Plans of the merger were announced last month. The transaction would give Synovus, based in Columbus, Ga., a stronghold in South Carolina. The agreement calls for Synovus to swap between 1.6842 and 1.7067 shares of its stock for each share of NBSC. The final exchange ratio will be based on the average closing price of Synovus stock in the 30 trading days before the merger. Based on Synovus's recent price, NBSC shareholders would get stock worth about $32 a share, more than twice the company's book value of $15.86 a share as of Sept. 30.

DSC COMPLETES ACQUISITION OF DANISH COMPANY

The DSC Communications Corporation said yesterday that it had completed the acquisition of NKT Elektronik of Denmark for about $145 million. Last month, the Dallas-based manufacturer and marketer of digital switching, transmission and private network products said it had agreed to acquire the fiber optic equipment unit of NKT Holding A.S., giving it a beachhead in Europe for its telecommunications switching business.

CHEMICAL BANKING EXPECTED TO LAY OFF 2,000

The Chemical Banking Corporation plans to lay off about 2,000 employees, or about 5 percent of its work force, people close to the bank said yesterday. Analysts say the job cuts are needed to reduce expenses as revenue growth slows. Chemical will include the cuts as part of a cost-cutting plan it will announce on Dec. 1. Analysts expect the nation's fourth-largest banking company, which now has 41,500 workers, to cut annual costs by $300 million. The expected job cuts were reported yesterday in The Wall Street Journal.

DUTCH INSURER PLANS JOINT VENTURE IN MEXICO

Aegon, a Dutch insurance company, said yesterday that it planned to set up a joint venture in the Mexican insurance market with Banacci, the country's dominant financial company. Aegon will initially pay $167 million for a 49 percent stake in Banacci's insurance subsidiary, Seguros Banamex. The final price of the stake will be determined by the profitability of the venture over the next 10 years. Aegon said it would extend a $216.5 million, 10-year loan to the venture. Funds for both the stake and the loan will come from existing funds, the company said. Banacci's activities include investment banking, insurance and securities brokerage businesses.

DONALDSON, LUFKIN BIDS FOR CRYSTAL BRANDS' ASSETS

Donaldson, Lufkin & Jenrette Inc. has bid $125 million for the remaining assets of Crystal Brands Inc., topping a $120 million bid by the Phillips-Van Heusen Corporation. Donaldson, Lufkin is a unit of the Equitable Companies, a New York insurer. The Salant Corporation has also expressed interest in buying the assets, which consist of boys' and men's sportswear sold under the brand names Gant, Izod and Salty Dog, but it has not bid for them. New York-based Salant makes apparel under Perry Ellis, John Henry and other brand names. The sportswear assets are what remain following the sale by Crystal Brands of its jewelry group for $78.7 million. The company, based in Southport, Conn., filed for Chapter 11 bankruptcy-law reorganization in January.
