DISCOVERY ZONE COMPLETES TWO ACQUISITIONS

Discovery Zone Inc. of Chicago said yesterday that it had completed its acquisition of Leaps and Bounds Inc. from the McDonald's Corporation. Discovery Zone, an operator and franchiser of children's indoor playgrounds, issued 5.5 million shares of its common stock to McDonald's for the 49 Leaps and Bounds centers. The company said it had also completed the acquisition of all Discovery Zone Fun Centers and franchise territories formerly owned by the Blockbuster Entertainment Corporation. The 60 Fun Centers and the territories were acquired by issuing about 4.63 million Discovery Zone shares to Blockbuster.

PROPOSED SETTLEMENT BY SOUTHERN CALIFORNIA EDISON

Southern California Edison, a unit of SCEcorp, announced yesterday a proposed settlement with state regulators that would reduce the repayment schedule for its $2.7 billion investment in the San Onofre nuclear plant to 8 years from 13. The agreement would also trim $67 million from so-called nonfuel revenue in 1995, while allowing the utility to reduce spending on energy conservation programs by $121 million. The proposed settlement, which would set the utility's rates for 1995, was negotiated with the Division of Ratepayers' Advocates, an office that represents the interests of customers before the California Public Utilities Commission. The commission is expected to vote on the matter before the end of the year.

Levi's Seeks Approval to Open Stores

Levi Strauss & Company is seeking approval from the Federal Trade Commission to operate stores selling only Levi's products. The F.T.C. said today that it had been petitioned by Levi Strauss to reopen and modify a 1978 consent order to let the company own retail stores.

MEDAPHIS TO ACQUIRE ADVACARE IN $107.5 MILLION DEAL

Advacare Inc. signed a definitive agreement yesterday to be acquired by the Medaphis Corporation for stock and debt worth about $107.5 million. Advacare said the price included $38.2 million in Medaphis stock and $69.3 million of outstanding debt, liabilities and transaction costs. Shares of Medaphis were down $1.75, at $33.50, in Nasdaq trading. Advacare shares were down 50 cents, at $2.0625. Advacare said that based on the number of its shares, options and warrants outstanding, the value to be paid in Medaphis stock was the equivalent of $2.36 per Advacare share. Medaphis, based in Atlanta, provides billing and accounts-receivable management services to hospitals and doctors. Advacare, based in Dallas, provides medical billing and practice management services.

DIGITAL EQUIPMENT TO OFFER A NEW ALPHA CHIP

The Digital Equipment Corporation said yesterday that it would display a new Alpha AXP microprocessor today. The chip will be an addition to Digital's family of Alpha microprocessors, which the company says are the world's fastest. David Wu, an analyst at S. G. Warburg, said the chip represented Digital's contribution to the next generation of microprocessors being offered by all major chip makers. Mr. Wu said Digital, which introduced its Alpha family of computers and accessories in 1992, still needed to provide more software for the machines. "Customers buy systems, not fast chips," he said.

SPRINT OFFERS DISCOUNT PLAN ON ALL LONG-DISTANCE CALLS

The Sprint Corporation has introduced a calling plan, Sprint Worldwide, that will provide discounts for customers on all long-distance telephone calls. The company said the program made Sprint the only long-distance company to offer discounts on a customer's entire bill as well as discounts on international and domestic collect calls. Customers who spend $50 a month will get a 20 percent discount, or $10, under the plan, Sprint said. If the monthly bill is between $25 and $50, customers will get a 10 percent discount. The plan has a monthly charge of $3.

A French magistrate has opened an official investigation into Jean-Louis Beffa, the chairman of the French industrial glass manufacturer Saint-Gobain S.A., the company said today. The investigation involves accusations of a payment of 4.4 million francs ($827,000) made by Pont-a-Mousson, a subsidiary of Saint-Gobain, to obtain a water supply contract in Nantes in 1988, a Saint-Gobain spokesman, Jacques Valentin, said.

al-Mart Stores Inc. and its Mexican joint venture partner, Cifra S.A., will open a Sam's Club store in Mexico City next week. The store will be the fifth Sam's Club in Mexico City and the company's 17th warehouse club in the country. In addition to its Mexico City stores, the joint venture owns three Sam's in Guadalajara, two in Monterrey, and one each in Puebla, Queretaro, Hermosillo, Toluca, Aguascalientes, Cuernavaca and Veracruz.
