British Telecom Discusses Getting on Line

British Telecommunications P.L.C. said today that it was in talks to buy on-line services to be offered by the joint venture between the MCI Communications Corporation and the News Corporation. The company, however, said it would not invest in the venture itself. The joint venture, announced Wednesday, would offer interactive services such as electronic mail, an on-line children's service and a guide to the Internet, the global computer network. British Telecom owns a 20 percent stake in MCI but does not provide on-line services.

Detroit Paper Is Ready to Replace Strikers

A year ago, The Detroit Free Press editorialized in favor of a Federal law banning the use of replacement workers during strikes. Now The Free Press is threatening to start permanently replacing its striking journalists if they do not return to work by 10 A.M. Thursday. This is a sign of how severe the struggle has become in the month-old strike here against The Free Press and The Detroit News by six unions representing 2,500 pressmen, drivers, maintenance workers, reporters, and others.

Judge Wood Stays Calm (and Silent) Under Media's Glare

When Judge Kimba M. Wood of Federal District Court in Manhattan left for a vacation in Italy three weeks ago, she was best known as the distinguished judge who sent the financier Michael R. Milken to prison and was once President Clinton's candidate for Attorney General of the United States. Yesterday, as the judge returned to the bench, her fame had taken on another dimension: as the third party in a sensational divorce case that has dominated the tabloids and television news. The judge seemed all business yesterday, but there were distractions. In the morning, marshals had to restrain a photographer who lunged at her maroon car as she pulled into the judges' garage. Later, she smiled easily as she walked into her courtroom at 500 Pearl Street in lower Manhattan, where several reporters awaited her, pens in hand, ready to record any sign of her personal life.

Senator Seeks Fee Disclosure By Reporters

Senator Robert C. Byrd today introduced a resolution that would require journalists who cover the Senate to disclose the source and the amount of earned income from anyone other than their primary employer. Mr. Byrd said he was acting because news organizations had failed to address speaking fees that prominent reporters frequently receive from a wide variety of groups, many of which routinely have business before Congress.

Ruling on Blood Is a Setback for Simpson

Denting the defense's theory of a police conspiracy, Judge Lance A. Ito ruled today that lawyers for O. J. Simpson had failed to prove that a disclosure in the press about blood evidence was material to the case. He said the defense could neither see a police report about the disclosure nor ask two news reporters about it. The decision, made in an abbreviated court session, means that lawyers for Mr. Simpson, who is accused of murdering his former wife and her friend, will not gain access to an internal police investigation of the disclosure, which the defense maintains would help establish that the police set up Mr. Simpson by planting blood on a sock found in his bedroom.

CISCO SYSTEMS PLANS ACQUISITION OF COMBINET

Cisco Systems Inc. said yesterday that it would purchase Combinet Inc., a closely held maker of computer network equipment. Cisco, the biggest independent maker of network equipment, said the acquisition would expand its line of products for people who work from home on personal computers connected to their office networks. Cisco, which is based in San Jose, Calif., said it would exchange 2 million Cisco shares for all the stock of Combinet. The deal was initially valued at about $114.2 million, based on the closing price of Cisco stock on Wednesday. As the price of Cisco shares rose yesterday -- they closed at $58.25, up $1.1875, on Nasdaq -- the indicated value of the deal rose to $116.5 million. Combinet, which is based in Sunnyvale, Calif., said it would have revenue of about $18 million to $20 million in the current fiscal year.

LEGGETT & PLATT TO SPLIT STOCK AND INCREASE DIVIDEND

Leggett & Platt Inc. declared a 2-for-1 stock split yesterday and increased its cash dividend to 20 cents a share, from 18 cents a share. Leggett, a maker of furniture components based in Carthage, Mo., said it would distribute on Sept. 15 one additional common share for each share outstanding as of Aug. 25. The dividend will be paid on a presplit basis on Sept. 15 to shareholders of record on Aug. 25. Shares of Leggett rose $1, to $47.375, on the New York Stock Exchange.

GLENCORE PLANNING SALE OF CENTURY ALUMINUM UNIT

Glencore International A.G., an international commodities trading organization based in Switzerland, said yesterday that it planned to raise as much as $488 million by selling its Century Aluminum Company unit through an initial public offering. In a filing with the Securities and Exchange Commission, Glencore did not disclose the number of shares to be issued or the per-share price, but the sale represents Glencore's entire stake in the company. Century, based in Ravenswood, W. Va., produces aluminum and specialized aluminum products.

I.B.M. UNIT TO MANAGE FLAGSTAR'S INFORMATION SERVICES

The Flagstar Companies said yesterday that it planned to hire the Integrated Systems Solutions Corporation, a unit of I.B.M., to manage most of its information services as part of an effort to streamline the company's restaurant operations. Integrated Systems, based in White Plains, could begin the work as early as mid-October. The long-term agreement will include a capital investment by Integrated Systems for new equipment and software. Flagstar, based in Spartanburg, S.C., will select suppliers for equipment and software that will include the International Business Machines Corporation. Flagstar operates more than 2,500 Denny's, Quincy's Family Steakhouse and El Pollo Loco restaurants, and is the largest franchisee of Hardee's restaurants.

ILLINOIS TOOL WORKS MAKES OFFER FOR ELCO INDUSTRIES

Illinois Tool Works Inc. said yesterday that it had offered to buy Elco Industries for about $134.2 million, or $27 a share. Elco, which is based in Rockford, Ill., makes parts for the automotive and equipment making industries, among other products. Last year Elco had revenue of $225.9 million. Illinois Tool Works makes construction fasteners and packaging systems. The shares of Elco rose 62.5 cents, to $19.25, before trading was halted on Nasdaq. Shares in Illinois Tool Works, which is based in Glenview, Ill., fell 87.5 cents, to $57.25, on the New York Stock Exchange.
