Fox and TCI In Discussions About Offering News Channel

Fox Inc. and Tele-Communications Inc., the largest cable operator in the country, are discussing a partnership that would lead to distribution of Fox's new 24-hour news channel into as many as 10 million homes served by TCI. Executives familiar with the negotiations confirmed yesterday that talks were taking place but said that a deal had not been reached and might become part of wider talks between the two companies. Word of the discussions was first reported yesterday in Variety, the entertainment-industry publication.

Reporters Ordered to Leave Freemen Area

The F.B.I. ordered reporters and photographers to leave their hillside vantage point overlooking the Freeman compound near here today, but said the order was not a prelude to a move against the extremist group. "We're trying to do everything we can to peacefully resolve the situation," Attorney General Janet Reno said in Washington, "and we will continue those efforts."

Tonight, "CBS Evening News" will show segments of newly uncovered television film recorded on Nov. 22, 1963, the day of the assassination of President John F. Kennedy. The 16-millimeter film had been rescued from a trash can by a Dallas television station employee, who died last year; it then remained in the house of a friend whose family found it and last week gave it to the Assassination Records Review Board. The family also told Mary Mapes, a Dallas-based producer for "CBS Evening News," and her husband, Mark Wrolstad, a reporter for The Dallas Morning News. The newspaper reported the story yesterday; CBS scheduled its two-part report for last night and tonight. The film has "no headline revelations," as the CBS anchor, Dan Rather, put it last night, although historians may find new information in details like crowd scenes. It shows President Kennedy, and his wife, Jacqueline, before the motorcade; Jack Ruby waiting for Lee Harvey Oswald to appear before reporters on the night of the assassination, and Vice President Lyndon B. Charges Dropped Against 2 Reporters

A judge yesterday dismissed misdemeanor trespassing charges against two reporters arrested last month at the Waldorf-Astoria while trying to determine the seating arrangements at a fund-raiser for Gov. George E. Pataki. The two arrests took place at a black-tie dinner in the Park Avenue hotel's Starlight Roof, where anyone who raised $100,000 or more from other contributors could display a company logo and sit with the Governor or with the state Republican chairman, William D. Powers.

COMPANY NEWS;SCB COMPUTER ACKNOWLEDGES AN INVESTIGATION

The shares of SCB Computer Technology Inc. dropped nearly 33 percent yesterday after the company said its billings for a consulting contract with the Tennessee Valley Authority were under Federal investigation. SCB shares fell $9.25, to $19, in Nasdaq trading. SCB, which provides consulting on computer systems, said the United States Attorney's office and a Federal grand jury in Memphis were investigating the billing practices. SCB, based in Memphis, said an internal review found questionable billings by T. Scott Cobb, SCB's chairman and president, and Steve N. White, the chief operating officer. SCB said it did not expect the investigation to have a material adverse impact on management or its financial condition.

COMPANY NEWS;GENZYME TO BUY MAKER OF SURGICAL PRODUCTS

The Genzyme Corporation, a major biotechnology company, said yesterday that it had a definitive agreement to acquire Deknatel Snowden Pencer Inc., a surgical products company, for about $250 million in cash. The privately held Deknatel, which is based in Fall River, Mass., makes cardiovascular devices, surgical instruments and specialty surgical products. It had sales of $95.3 million in the year that ended on Sept. 30, 1995. Deknatel has 585 employees and manufacturing plants in Fall River; Tucker, Ga., and Coventry, Conn. Genzyme said it would retain Deknatel's plants and continue to pursue its growth strategy. Shares of Genzyme, based in Cambridge, Mass., fell $2.75, to $58.50.

The Healthplan Services Corporation agreed yesterday to acquire the Harrington Services Corporation, a closely held health benefits administrator, for about $67 million in cash and stock. The acquisition of Harrington, based in Columbus, Ohio, will give Healthplan Services a presence in the administration of managed care plans for large corporations. Harrington had 1995 revenues of $72 million. Healthplan Services, based in Tampa, Fla., expects to complete the transaction with $32.5 million in cash and 1.347 million shares.

COMPANY NEWS;BORLAND INTERNATIONAL WARNS OF A PROBABLE LOSS

Borland International Inc. said yesterday that it would probably report a loss in the first quarter, as sales of its Delphi Desktop software fell below expectations. The company, which writes software that helps programmers write other software, said it would post a loss for the quarter, which ends on June 30, unless revenue picks up in the rest of the quarter. The company did not disclose the size of the expected loss. The software concern said the expected loss also stems from "distractions" associated with reorganization of its sales and marketing teams and its planned purchase of the Open Environment Corporation for $64 million. Borland, based in Scotts Valley, Calif., announced the possible loss after the stock market closed. Earlier, shares rose $1.25, to $17.125, in Nasdaq trading.
